Terms and Conditions of Sale
In force — Vignau Studio
1. Purpose
These Terms and Conditions govern the contractual relationship between Vignau Studio (Loïc Vignau, SIRET 835 025 883 00017, RCS Pontoise) and any client ordering a brand architecture, creative direction or visual production service.
2. Services
Services are detailed in the quote or commercial proposal accepted by the client. Any service not expressly mentioned shall be subject to a separate amendment agreed by both parties.
3. Pricing & payment
Prices may be stated in euros or US dollars depending on the client, market and proposal issued. Full payment is due before the service begins unless otherwise agreed in writing. Any late payment may give rise to penalties at the legal rate in force.
3 bis. Order validation
An order is deemed firm and final upon written acceptance of the quote, proposal or brief by any written means, including email, WhatsApp, Instagram, instant messaging, PDF approval, Stripe payment or any other electronic support clearly establishing the client’s agreement. Payment of the quote or service via Stripe, bank transfer or any other method constitutes full acceptance of these Terms and Conditions, even in the absence of a handwritten signature.
4. Usage rights & assignment
Deliverables are provided for organic communication use only (social media, website, press). Any use in paid advertising (Meta ads, Google, TikTok, etc.) requires a specific rights assignment, billed at an additional €260 or the equivalent amount in US dollars where applicable. This assignment shall be formalized by a separate amendment agreed by both parties.
5. Delivery timelines
Delivery timelines are indicative only and depend on the client’s responsiveness in providing the required elements (brief, assets, approvals).
6. Intellectual property
Deliverables become the full property of the client once the service has been paid in full. Vignau Studio retains the right to present the work in its portfolio and communication materials.
7. Cancellation
Any cancellation after work has started shall result in invoicing for the work already completed on a pro rata basis. Any deposit paid is non-refundable except in the event of proven fault by Vignau Studio.
7 bis. Delivery and no refund after delivery
Once the final deliverables have been provided to the client (high-resolution files, presentation PDF, or any other agreed format), the service shall be deemed fully performed. No partial or full refund may be requested after delivery, provided that the deliverables are consistent with the brief approved in writing beforehand.
Written intermediate approvals (creative direction, moodboard, base image, etc.) constitute the client’s formal agreement to the project direction. Any feedback after delivery regarding elements previously approved shall be treated as a new phase and quoted separately.
The client acknowledges that the final quality of the deliverables depends directly on the quality of the references and assets provided beforehand. Low-resolution or non-professional source files may limit the final rendering, which the client accepts by providing such elements.
8. Governing law & disputes
These Terms and Conditions are governed by French law. Any dispute relating to their interpretation, performance, validity or termination shall, between professionals, fall under the exclusive jurisdiction of the competent courts of Paris, notwithstanding multiple defendants or third-party claims.
